You need an account to use Zepfolio. Keep your credentials private and tell us promptly if you think someone else has them. Whoever creates a company workspace is its owner and is responsible for who they invite, what access those people get, and everything done under their logins.

One subscription can hold as many companies as you need. Each company's records stay separate.

• Do not use the platform to break the law or infringe anyone's rights.
• Do not upload malware, attempt to access another company's data, probe our systems, or bypass access controls or seat limits.
• Do not resell, sublicense or white-label the platform without a written agreement with us.
• Do not scrape, copy or reverse engineer the software, or use it to build a competing product.
• Do not send unlawful, harassing or unsolicited bulk messages through the platform's messaging, email or texting features.

We may suspend access without notice if activity threatens the platform, other customers, or the law.

You own the records you and your team put into Zepfolio. You grant us only the permission needed to host, process, back up and display them so the service works. We handle personal information as described in the Privacy Policy.

You are responsible for the accuracy of what you enter, and for confirming you have the right to upload customer information, photos and files.

Zepfolio includes accounting, payroll and tax-related features. It is software, not an accountant, bookkeeper, attorney or tax adviser. Reports, calculations and filings you produce with it are your responsibility. Have a qualified professional review your books, payroll and tax positions.

Some features connect to services you choose to authorize, such as bank data, card payments, email delivery, texting, calendars and maps. Those services have their own terms, and we are not responsible for their availability or actions.

Paid use is governed by the Subscription Agreement, including pricing, seats, trials, renewals and cancellation.

We work to keep Zepfolio available and fast, but we do not promise uninterrupted service. We may perform maintenance, change features, or retire a feature that no longer makes sense, and we will give notice inside the app for changes that materially reduce functionality you rely on.

The platform, its design, code and brand belong to us. Nothing here transfers ownership. Feedback you send us may be used to improve the product without obligation.

Except as expressly stated, the platform is provided "as is" without warranties of any kind. To the extent the law allows, we are not liable for indirect, incidental or consequential damages, or for lost profits or data, and our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose.

You may stop using the platform at any time and cancel from your billing page. We may terminate for material breach, non-payment, or unlawful use. On termination the owner may export company records during a limited wind-down period.

These terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, and disputes will be handled in the courts located there.

We may update these terms; the date above will change and material updates will be announced in the app. Continuing to use the platform after an update means you accept it.
